1. Overview and Acceptance
These Terms of Service (“Terms”) govern your access to and use of the Recepta.ai website, applications, and services, including AI receptionist features, human support, inbound and outbound communications, chat, SMS, data logging, analytics, and integrations (collectively, the “Services”).
By accessing or using the Services, creating an account, or continuing to use Recepta.ai after these Terms are updated, you agree to be bound by these Terms and by the Recepta.ai Privacy Policy, which is incorporated by reference. If you do not agree, you must not use the Services.
"Recepta.ai," "we," "us," and "our' refer to the Recepta.ai entity providing the Services. "Customer," "you," and "your" refer to the person or organization using the Services.
2. Eligibility, Term, and Updates
You may use the Services only if you are at least 18 years old and have the legal capacity to enter into a binding contract. If you use the Services on behalf of a business or organization, you represent that you are authorized to accept these Terms on its behalf.

3.1 AI and Human Receptionist Services
- Answering inbound calls using AI and/or human agents.
- Filtering spam and unwanted calls.
- Presenting greetings, menus, and scripted flows.
- Collecting caller details, intake information, and instructions.
- Recording voicemails and sending notifications via SMS, email, or dashboard.
- Routing or transferring calls according to rules you configure.
The AI receptionist can operate 24/7, with human support layered in where appropriate to provide empathy, judgment, and higher‑touch handling.
3.2 Inbound and Outbound Call Handling
- Responding to new inquiries and existing customer calls.
- Placing outbound calls for appointment booking, confirmations, reminders, and follow‑ups.
- Conducting structured outreach based on your lists and instructions.
You control who is called, when they are called, and what messaging is used, subject to applicable law and these Terms.
3.3 Chat, SMS, and Messaging Services
- Website chat widgets or embedded chat experiences.
- Two‑way SMS between your business and your contacts.
- Messaging through connected channels or third‑party tools.
- Automated and human‑assisted responses, conversation flows, and follow‑up sequences delivered via chat or SMS.
3.4 Analytics, Insights, and Data Logging
- Transcripts, summaries, tags, and structured data from interactions.
- Dashboards showing call and message volumes, trends, and performance.
- Analytics and insights that help you identify bottlenecks and improve operations.
3.5 Integrations and Workflows
- Book and modify appointments in your scheduling tools.
- Create, update, or annotate records in your CRM or practice management systems.
- Trigger follow‑up tasks, status changes, or notifications.
4. Accounts, Configuration, and Customer Responsibilities
- Provide accurate, current, and complete information and keep it updated.
- Maintain the confidentiality of your login credentials and restrict access to authorized personnel only.
- Notify Recepta.ai promptly of any unauthorized access or suspected security issue.
- You will provide unique credentials and limit permissions to what is necessary to perform agreed tasks.
- You represent that you are authorized to grant such access and to direct actions in those systems.
- If credentials or permissions do not allow Recepta.ai to perform requested tasks, Recepta.ai has no obligation to perform those tasks.
- The content of scripts, prompts, messages, campaigns, and workflows you configure.
- The accuracy and legality of contact lists and recipients you provide.
- Compliance with laws and industry rules that apply to your business and geography.
5. Plans, Usage, Billing, and Taxes
5.1 Service Plans and Metrics
- Number of calls, minutes, or interactions handled (AI and/or human).
- Number of messages or chat conversations.
- Number of contacts or leads engaged.
- Coverage hours, features, and support levels.
5.2 Subscriptions and Renewal
- Recurring subscription fees.
- Usage beyond plan limits (overages).
- Taxes and other applicable charges.

- Request an alternative payment method.

You grant Recepta.ai a non‑exclusive, worldwide, royalty‑free license to use Customer Data as necessary to provide the Services and to create aggregated or de‑identified data described in Section 9. If you provide feedback or suggestions, Recepta.ai may use them without obligation to you.
11. Third‑Party Services
Recepta.ai is not responsible for the content, performance, or security of third‑party services, and does not guarantee their availability or behavior. You are responsible for your use of third‑party services and for ensuring your configurations and integrations are permitted under your agreements with those providers.
12. Disclaimers
Without limiting the foregoing, Recepta.ai does not guarantee:
- That the Services will be uninterrupted, error‑free, or completely secure.
- That every call or message will be successful, delivered, or produce a desired outcome.
- That analytics and insights will be entirely complete or free from inaccuracies.
13. Limitation of Liability
- Recepta.ai will not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, lost revenue, business interruption, or loss of data, arising from or related to your use of the Services or these Terms, even if advised of the possibility of such damages.
- Recepta.ai’s total aggregate liability for all claims arising out of or related to the Services or these Terms will not exceed the amounts you paid to Recepta.ai for the Services during the twelve (12) months preceding the event giving rise to the claim.

17. Miscellaneous
Assignment: You may not assign or transfer your rights or obligations under these Terms without Recepta.ai’s prior written consent. Recepta.ai may assign its rights and obligations in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.
Severability: If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.
No Waiver: A failure to enforce any right or provision is not a waiver of that or any other right or provision.
